Terms and Conditions of Engagement

1. Definitions

For purposes of this Agreement:

• Booking means a request for companionship services submitted through the Platform and accepted in accordance with these Terms.
• Client means a registered user seeking companionship services.
• Companion means an individual approved by the Platform to provide companionship services.
• Platform means the website, mobile application, software, communication systems and any associated services operated under the name Haven Wellness.
• Services means lawful companionship services facilitated through the Platform.
• User includes every person accessing or using the Platform whether registered or not.

2. Nature of the Platform

• The Platform is an online marketplace that connects Clients with vetted Companions for lawful companionship services.
• The Platform facilitates introductions, scheduling, communication, payment processing and related administrative functions but is not a party to the personal interactions between Clients and Companions.
• The Platform does not guarantee compatibility, friendship, relationships, marriage, employment, counselling, therapy, dating success or any specific outcome arising from the use of its services.
• The Platform strictly prohibits the solicitation, offering or provision of illegal, exploitative, immoral or sexual services.

3. Eligibility

You may only use the Platform if:

• You are at least eighteen (18) years of age.
• You possess the legal capacity to enter into binding contracts.
• You provide accurate and complete registration information.
• Your use of the Platform does not violate any applicable law.
• You are not in a committed relationship and/or marriage.
• You must be a female.

The Platform reserves the right to suspend or terminate any account where eligibility requirements are no longer met.

4. User Registration

Users shall register using accurate personal information.

You undertake that:

• All information supplied is true;
• You will promptly update inaccurate information;
• You will maintain the confidentiality of your login credentials;
• You shall not permit another person to use your account.

You remain solely responsible for all activities conducted through your account.

5. Verification

• The Platform reserves the right to verify the identity of any User through identification documents, photographs, telephone verification or any other lawful verification process.
• Failure to complete verification may result in suspension, rejection or termination of an account.
• Verification by the Platform shall not constitute a guarantee of a User's conduct, integrity or suitability.

6. Companion Services

Companions may provide lawful companionship services including but not limited to:

• Attending social events;
• Travel companionship where agreed;
• Networking events;
• Recreational activities;
• Conversation sessions;
• Hobby participation;
• Public outings.

The exact scope of each booking shall be mutually agreed between the Client and Companion through the Platform.

7. Prohibited Services

The Platform shall not permit:

• Prostitution;
• Escort services involving sexual activity;
• Pornography;
• Trafficking;
• Drug-related activities;
• Criminal activities;
• Harassment;
• Discrimination;
• Coercion;
• Exploitation.

Any attempt to solicit prohibited services shall result in immediate account termination and may be reported to the relevant authorities.

8. Bookings

• Bookings shall only be made through the Platform or by assistance from personnel but still via the official platform.
• A booking shall only become effective upon confirmation through the Platform.
• The Platform reserves the right to decline, cancel or suspend any booking where it reasonably believes that the booking may expose any User or the Platform to legal, reputational or safety risks.

9. Payments

• All payments shall be processed through payment channels approved by the Platform (50% deposit upfront and the remainder after service delivery).
• Users agree not to circumvent the Platform by making private arrangements intended to avoid payment of applicable service fees.

The Platform reserves the right to charge:

• Booking fees;
• Subscription fees;
• Cancellation fees;
• Processing fees;
• Administrative charges.

Applicable charges shall be displayed before confirmation of a booking.

10. Refunds

• Refunds shall be governed by the Platform's Refund Policy.
• Submission of a refund request does not automatically entitle a User to reimbursement.
• The Platform reserves discretion to investigate all refund requests before making a determination.

11. User Conduct

Every User agrees to conduct themselves respectfully and professionally.

Users shall not:

• Threaten another person;
• Engage in abusive language;
• Discriminate on any unlawful ground;
• Intimidate another User;
• Stalk or harass another User;
• Disclose another person's confidential information;
• Impersonate another individual;
• Upload false information;
• Damage the reputation of the Platform.

Users shall comply with all applicable laws throughout every interaction facilitated by the Platform.

12. Safety

The safety of Users is a priority.

Users are encouraged to:

• Meet in public locations;
• Inform trusted persons of meeting arrangements;
• Use Platform communication tools where available;
• Immediately report suspicious behavior.

The Platform may suspend any User pending investigation of a safety complaint.

13. User Content

• Users retain ownership of content submitted by them.
• By uploading photographs, reviews, messages or other content, Users grant the Platform a worldwide, royalty-free, non-exclusive license to use such content solely for operating, improving and promoting the Platform.
• Users warrant that they possess all necessary rights to content submitted.

14. Intellectual Property

• All trademarks, logos, software, databases, designs, graphics, text, branding and other intellectual property displayed on the Platform remain the exclusive property of the Platform or its licensors.
• No User shall reproduce, modify, distribute, copy or commercially exploit any part of the Platform without prior written consent.

15. Confidentiality

Users shall keep confidential all non-public information obtained through the Platform. Confidential information includes but is not limited to:

• Personal information;
• Business information;
• Pricing structures;
• Internal procedures;
• Software functionality;
• Algorithms;
• Security systems;
• Customer information.

Users shall not disclose confidential information without prior written consent unless required by law. This obligation survives termination of this Agreement.

16. Privacy

The Platform shall collect, process, store and use personal information in accordance with its Privacy Policy and applicable data protection laws. Users consent to such processing by accepting these Terms.

17. Suspension

The Platform may immediately suspend or restrict access where it reasonably believes a User has:

• Breached these Terms;
• Endangered another User;
• Committed fraud;
• Violated applicable law;
• Provided false information;
• Damaged the reputation of the Platform.

Suspension may occur without prior notice where immediate action is necessary.

18. Termination

• The Platform may terminate this Agreement at any time where continued use of the Platform is considered inappropriate or unlawful.
• Users may terminate their accounts at any time subject to the completion of outstanding bookings and financial obligations.
• Termination shall not affect accrued rights or liabilities existing before termination.

19. Disclaimer

• The Platform provides technology services facilitating lawful companionship arrangements.
• The Platform does not warrant uninterrupted availability, compatibility between Users, successful bookings or particular outcomes.
• Services are provided on an “as available” basis to the fullest extent permitted by law.

20. Limitation of Liability

To the maximum extent permitted by law, the Platform shall not be liable for indirect, consequential, incidental or special damages arising from the use of the Platform. Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.

21. Indemnity

Users agree to indemnify and hold harmless the Platform, its directors, employees, contractors and affiliates against claims, losses, damages, liabilities, costs and expenses arising from:

• Breach of these Terms;
• Unlawful conduct;
• Misuse of the Platform;
• Infringement of third-party rights.

22. Amendments

• The Platform reserves the right to amend these Terms at any time.
• Updated Terms shall become effective upon publication on the Platform.
• Continued use constitutes acceptance of the revised Terms.

23. Governing Law

These Terms shall be governed by the laws of the Republic of Kenya. Any dispute arising from or relating to these Terms shall first be referred to good faith negotiations between the parties. Where negotiations fail, the dispute may be referred to mediation. If mediation is unsuccessful, either party may institute proceedings before the courts of competent jurisdiction in Kenya.

24. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

25. Entire Agreement

These Terms, together with the Privacy Policy, Community Guidelines, Refund Policy and any other policies incorporated by reference, constitute the entire agreement between the Platform and every User regarding use of the Platform.

26. Electronic Acceptance

By selecting the “I Agree” checkbox, you acknowledge that:

• You have read these Terms and Conditions;
• You understand their contents;
• You voluntarily accept them;
• Your electronic acceptance constitutes your legal signature;
• This Agreement is binding and enforceable as though signed in ink.
